Welcome to Perseverance With Poise LLC ("Company," "we," "us," or "our"). By accessing or using our website at www.perseverancewithpoise.com (the "Site"), purchasing any of our products or services, attending our webinars or events, or enrolling in any of our programs, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not access or use our Site or services.

These Terms constitute a legally binding agreement between you and Perseverance With Poise LLC. Please read them carefully before using our Site or services.

2. Description of Services

Perseverance With Poise LLC provides identity and transformation coaching services for nurses, including but not limited to: paid and free webinars, online masterclasses, group coaching programs, private coaching sessions, digital content and resources, community access, and related products and services offered through the Site.

3. Scope of Practice Disclaimer

Coaching services provided by Perseverance With Poise LLC are not therapy, psychotherapy, counseling, psychology, social work, marriage and family therapy, psychiatry, or any other licensed mental health service. Coaching does not involve the diagnosis or treatment of mental health disorders or medical conditions. Our coaching services do not fall within the scope of practice of Licensed Marriage and Family Therapists (LMFT), Licensed Clinical Social Workers (LCSW), Licensed Professional Clinical Counselors (LPCC), Licensed Educational Psychologists (LEP), or any other licensed profession regulated by the California Board of Behavioral Sciences or any other licensing board.

Our coaching is focused on identity transformation, personal development, goal setting, and empowering nurses to make decisions aligned with who they are and who they want to become. If at any point during our coaching relationship issues arise that fall outside the scope of coaching, including but not limited to clinical mental health conditions, psychiatric emergencies, substance abuse, or medical concerns, we will refer you to an appropriate licensed professional for support. We maintain a commitment to your safety and wellbeing above all else.

If you are experiencing a mental health crisis, psychiatric emergency, or need clinical therapeutic support, please contact a licensed mental health professional, call 988 (Suicide and Crisis Lifeline), call 911, or go to your nearest emergency room.

By using our services, you acknowledge that coaching is not a substitute for professional medical advice, diagnosis, or treatment, and you agree to seek appropriate professional care for any medical or mental health needs. You further acknowledge that you are solely responsible for your own physical and mental health and that you will not rely on coaching services as a replacement for any form of licensed professional care.

4. Eligibility

You must be at least 18 years of age to use our Site or purchase our services. By using our Site or services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

5. Account Registration

Certain features of our Site or services may require you to create an account or provide personal information. You agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account.

6. Electronic Communications Consent

By using our Site, registering for our services, or providing your email address, you consent to receive electronic communications from us, including emails, newsletters, marketing messages, and transactional communications. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. Opting out of marketing emails does not affect transactional or service related communications necessary to provide you with services you have purchased.

7. Payment Terms

7.1 Pricing

All prices for our products and services are listed on our Site and are stated in United States Dollars (USD). We reserve the right to change our pricing at any time without prior notice. Any price changes will not affect orders or enrollments that have already been confirmed.

7.2 Payment Processing

Payments are processed through third party payment processors. We do not store your full credit card or payment information on our servers. By providing your payment information, you authorize us to charge the applicable fees to your chosen payment method. You represent and warrant that you have the legal right to use any payment method you provide.

7.3 Payment Plans

If you enroll in a service that offers a payment plan, you agree to make all payments according to the schedule provided at the time of enrollment. The full amount of the program fee remains due regardless of whether you complete the program, attend all sessions, or continue participation. Your initial deposit is non refundable. Failure to make a scheduled payment may result in suspension or termination of your access to the applicable service, and the remaining balance may be sent to collections or pursued through legal action. If your payment method on file is declined, you will have 7 calendar days to update your payment information before access to services is suspended.

8. Refund Policy

Due to the nature of our digital services, all sales are final unless otherwise stated at the time of purchase. If a specific refund policy applies to a particular product or service, it will be communicated conspicuously at the point of sale prior to purchase. Requests for refunds under any applicable refund policy must be submitted in writing to [email protected] within the timeframe specified at the point of sale. In accordance with California Civil Code Section 1723, our refund policy will be clearly and conspicuously displayed at each point of sale where payment is collected.

9. Webinar and Event Terms

Registration for paid webinars and events is non transferable unless otherwise stated. Access to live webinars and events is provided at the scheduled date and time only. Replays may or may not be provided at our sole discretion. We reserve the right to reschedule, modify, or cancel any webinar or event. In the event of a cancellation by us, registered participants will receive a full refund or the option to attend a rescheduled event at their choice. We are not responsible for technical issues on your end (including internet connectivity, device compatibility, or software issues) that may prevent you from accessing a live webinar or event, and no refunds will be issued for such circumstances.

10. Coaching Program Terms

Enrollment in any coaching program constitutes a commitment for the full duration of the program as specified at the time of enrollment. Coaching services are provided by Darnetta Richardson and any designated team members. As stated in Section 3, coaching is not therapy, counseling, medical advice, or a substitute for professional mental health services.

Results from coaching vary and are not guaranteed. Your results depend on your individual effort, circumstances, commitment, and many other factors beyond our control. We make no representations, warranties, or guarantees of any kind regarding your potential earnings, business results, personal outcomes, or any other results from using our services. Any testimonials, case studies, or examples shared on our Site, social media, or in our marketing materials represent individual experiences and should not be interpreted as guarantees or promises of similar results for you.

11. Intellectual Property

All content on the Site and in our services, including but not limited to text, graphics, logos, images, audio, video, course materials, frameworks, methodologies, worksheets, templates, slide decks, webinar content, and any other materials (collectively, "Content"), is the exclusive property of Perseverance With Poise LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Content without our prior written consent, except for personal, non commercial use directly related to your participation in our services. Any unauthorized use of our Content may result in legal action.

The POISE framework, "Perseverance With Poise," "Unbury Yourself," "The POISE Identity Experience," and all related names, logos, slogans, and branding elements are trademarks or service marks of Perseverance With Poise LLC. You may not use these marks without our prior written permission.

12. User Conduct

When using our Site or participating in our services, you agree not to: use our Site or services for any unlawful purpose, share, redistribute, reproduce, or resell any paid content, materials, recordings, frameworks, or proprietary methodologies without our express written consent, harass, threaten, demean, bully, or harm other participants, coaches, or team members, impersonate any person or entity, upload or transmit any malicious code, viruses, or harmful content, attempt to gain unauthorized access to our systems or other users' accounts, record, screenshot, photograph, or otherwise capture coaching sessions, webinars, group calls, or any portion thereof without prior written consent, use any content from our services to create competing products or services, or use our services in any manner that could damage, disable, or impair the functioning of our Site.

Violation of any of these conduct rules may result in immediate and permanent termination of your access to our services without refund and without further obligation on our part.

13. Confidentiality

Any personal stories, experiences, breakthroughs, or information shared by you or other participants during coaching sessions, webinars, group programs, or community spaces are confidential. You agree not to share, disclose, or distribute the personal information, stories, or experiences of other participants outside of the coaching environment without their express written consent. This obligation of confidentiality survives the termination of your participation in any program.

We will treat your personal information in accordance with our Privacy Policy. While we take reasonable measures to protect the confidentiality of information shared in group settings, we cannot guarantee that other participants will maintain confidentiality and shall not be liable for any breach of confidentiality by other participants.

14. Disclaimer of Warranties

Our Site and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non infringement. We do not warrant that our Site will be uninterrupted, error free, secure, or free of viruses or other harmful components.

We do not guarantee any specific results from the use of our services. Coaching is a collaborative process that requires your active participation, honesty, and commitment. Results vary based on individual effort, background, circumstances, and many other factors beyond our control. No statement on our Site or in our marketing materials should be construed as a guarantee of results.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Perseverance With Poise LLC, its owner Darnetta Richardson, employees, agents, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, income, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use our Site or services, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or our services exceed the total amount you actually paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Perseverance With Poise LLC, its owner Darnetta Richardson, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees and court costs) arising out of or related to: your use of our Site or services, your violation of these Terms, your violation of any applicable law or regulation, your violation of any third party rights (including intellectual property rights), any content you submit or provide through our Site or services, any misrepresentation made by you, or any claim that your use of our services caused damage to a third party.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall first be resolved through good faith negotiation between the parties. Either party may initiate the negotiation process by sending a written notice to the other party describing the nature of the dispute and the desired resolution. If the dispute cannot be resolved through negotiation within thirty (30) days of the initial written notice, either party may initiate binding arbitration administered by a mutually agreed upon arbitration service in the State of California. The arbitration shall be conducted in accordance with the rules of the arbitration service then in effect. The arbitrator shall have the authority to award any remedy that a court of competent jurisdiction could award. The decision of the arbitrator shall be final and binding on both parties. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or any other representative or collective proceeding. You waive your right to participate in a class action lawsuit or class arbitration against Perseverance With Poise LLC to the fullest extent permitted by law.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, public health emergencies, government actions or orders, war, terrorism, civil unrest, internet or telecommunications failures, power outages, cyberattacks, or third party service provider failures. In such events, our obligations shall be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume performance as soon as practicable and to provide you with timely notice of any impact on scheduled services.

19. Termination

We reserve the right to terminate or suspend your access to our Site or services at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: violation of these Terms, violation of user conduct rules, non payment, or any behavior that we determine in our sole discretion is harmful to other participants, our team, or our business. Upon termination, your right to use our Site and services will immediately cease. You remain responsible for any outstanding payment obligations. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, and any outstanding payment obligations.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable while preserving the intent of the original provision, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and the remaining provisions shall continue in full force and effect.

21. Waiver

Our failure to enforce any right or provision of these Terms at any time shall not constitute a waiver of that right or provision or any other right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Perseverance With Poise LLC.

22. Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. Any attempted assignment without consent shall be null and void. We may assign these Terms at any time without notice to you, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

23. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms, policies, agreements, or disclaimers referenced herein or provided at the time of purchase or enrollment (including any coaching agreement executed between you and the Company), constitute the entire agreement between you and Perseverance With Poise LLC regarding the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

The arbitrator shall have the authority to award any remedy that a court of competent jurisdiction could award. The decision of the arbitrator shall be final and binding on both parties. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or any other representative or collective proceeding. You waive your right to participate in a class action lawsuit or class arbitration against Perseverance With Poise LLC to the fullest extent permitted by law.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, public health emergencies, government actions or orders, war, terrorism, civil unrest, internet or telecommunications failures, power outages, cyberattacks, or third party service provider failures. In such events, our obligations shall be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume performance as soon as practicable and to provide you with timely notice of any impact on scheduled services.

19. Termination

We reserve the right to terminate or suspend your access to our Site or services at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: violation of these Terms, violation of user conduct rules, non payment, or any behavior that we determine in our sole discretion is harmful to other participants, our team, or our business.
